I am a UK start-up founder seeking a UK-qualified commercial contract/corporate lawyer to review a legal services agreement and advise on my options to exit. I have evidence of misrepresentation during the sales process (recorded onboarding call) and need expert guidance on how to present this, negotiate an affordable settlement, and protect myself from further liability. In addition, I need advice on the best way to restructure my company: • Renaming the current company • Incorporating a new entity under the original name • Transferring a UK trademark between companies • Closing down the old company via DS01 strike-off The ideal freelancer will have: • Strong knowledge of UK contract law (misrepresentation, unfair terms, exit strategies) • Experience with Companies House procedures (name changes, incorporations, dissolutions) • Familiarity with UKIPO trademark transfer (TM16) • Ability to explain options clearly and simply for a start-up founder Deliverables: • Review my case and provide written/legal advice on my best options • Outline the correct step-by-step process for restructuring • Recommend negotiation strategy for exit This is a short-term consultation role but could lead to further work as I grow my business.
